IndiGrid Infrastructure Trust has finalized the acquisition of Gujarat BESS Private Limited for an enterprise value of approximately USD 60.52 Million. The transaction marks IndiGrid's entry into the Battery Energy Storage System (BESS) segment, adding a new asset class to its operational portfolio.

The move signals a strategic diversification beyond its core transmission business, positioning the trust to play a role in grid stability and renewable energy integration. Energy storage systems are increasingly critical for managing the intermittency associated with solar and wind power.

Project Structure and Revenue Model

The acquired BESS project will operate under a Build Own Operate (BOO) model, with IndiGrid taking direct responsibility for managing and operating the asset. This aligns with its broader strategy of owning and overseeing revenue-generating infrastructure projects.

The project is expected to generate annual revenues exceeding USD 10.25 million over a concession period of 12 years. IndiGrid had secured the project through tariff-based competitive bidding from Gujarat Urja Vikas Nigam Limited (GUVNL) in March 2024.

Company Background and Market Position

Established in 2016, IndiGrid is India's largest power sector infrastructure investment trust, with a portfolio focused on low-risk, long-term contracted assets. The company has built its business model around owning and operating revenue-generating infrastructure projects.

The BESS acquisition represents a significant expansion beyond IndiGrid's traditional transmission business, demonstrating the company's commitment to diversifying its asset portfolio while maintaining its focus on contracted, stable revenue streams.

Recent Expansion Activities

The BESS acquisition builds on IndiGrid's recent expansion activities, including the completion of Gadag Transmission Limited and agreements related to Morena I SEZ Transmission Limited. These transactions reflect the company's active approach to growing its infrastructure portfolio. The trust has also indicated plans to develop additional greenfield transmission and BESS projects, reflecting a broader shift towards integrating storage with grid infrastructure. This strategic direction positions IndiGrid to capitalize on the growing demand for energy storage solutions in India's power sector.

The acquisition of Gujarat BESS Private Limited represents IndiGrid's first foray into the energy storage market, marking a significant milestone in the company's evolution from a pure transmission-focused investment trust to a more diversified infrastructure platform. The BOO model ensures that IndiGrid will maintain operational control over the asset throughout the 12-year concession period, providing stable cash flows and operational expertise in the emerging BESS sector.
